Please read these terms carefully before using our services. These terms govern your use of ACG IT Solutions' services and establish the relationship between you and our company.

1. Agreement to Terms
By accessing or using ACG IT Solutions' services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services. These terms apply to all visitors, users, and clients who access or use our services.
2. Services Description
ACG IT Solutions provides AI automation, IT consulting, managed IT services, software integrations, and cybersecurity solutions. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. Service specifications, deliverables, and timelines will be outlined in individual project agreements.
3. Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise stated, invoices are due within 30 days of receipt. We reserve the right to suspend services for overdue accounts. All fees are non-refundable unless otherwise specified in writing. Pricing may be adjusted with 30 days' notice for ongoing services.
4. Intellectual Property
Unless otherwise agreed in writing, ACG IT Solutions retains ownership of all proprietary methodologies, tools, and frameworks. Custom developments created specifically for clients become client property upon full payment. Both parties agree to respect each other's intellectual property rights and maintain confidentiality of proprietary information.
5. Limitation of Liability
ACG IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim. We do not guarantee uninterrupted or error-free service, though we strive for maximum uptime and reliability.
6. Service Level Agreements
Specific service level agreements (SLAs) may be included in individual contracts. Standard support response times and availability guarantees will be documented in service agreements. Emergency support and priority response may be available at additional cost. SLA credits, if applicable, will be specified in individual agreements.
7. Client Responsibilities
Clients agree to provide accurate information and timely access to systems as needed. Clients are responsible for maintaining appropriate backups of their data. Clients must ensure they have legal rights to any data or content provided to us. Prompt communication and feedback are essential for successful project delivery.
8. Governing Law & Disputes
These terms shall be governed by the laws of the State of Florida, United States. Any disputes shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Florida. Both parties waive the right to participate in class action lawsuits.
